Gonzalo Gortazar holds a degree in Law and Business from Universidad Pontificia de Comillas (ICADE) and an MBA with distinction from the INSEAD Business School.

He is currently also the CEO of CaixaBank and the Director of Banco BPI.

He was the Chief Financial Officer of CaixaBank until his appointment as CEO in June 2014. Before that, he was the Director-General Manager of Criteria CaixaCorp from 2009 to June 2011. From 1993 to 2009, he worked at Morgan Stanley in London and Madrid, where he held various positions in the investment banking division, heading up the European Financial Institutions Group until mid-2009, when he joined Criteria. Previously, he held various corporate banking and investment banking positions at Bank of America.

He was the VidaCaixa Chairman, First Vice-Chairman of Repsol, and Director of the Ibursa Financial Group, Erste Bank, SegurCaixa Adeslas, Abertis, Port Aventura and Saba.

Jordi Nicolau, born in Gerona, has been the CEO of CaixaBank Payments & Consumer since April 2023.

He has a degree in Economics and Business Administration from the University of Barcelona, and a Master's in Business Administration (MBA) from the Universitat Pompeu Fabra. He also completed the Management Development Programme (PDD) at IESE, the ESADE "Leadership and Commitment" postgraduate course, and has an Advanced Studies Diploma (DEA), Third Degree, and completed the "Leadership Excellence through Awareness and Practice Programme" (LEAP) at INSEAD.

He is currently also a member of the Management Committee, and Director of Payments & Consumer at CaixaBank.

He is the director of various CaixaBank Group entities, as well: CaixaBank Tech, ImaginersGen, CaixaBank Facilities Management. He is also Chairman of the Board of Telefónica Consumer Finance and Telefónica Renting, and Director of Comercia Global Payments.

He joined the sales network of CaixaBank in 1995, and became Deputy Director and Executive Director of the Catalonia Territory, Director of the Barcelona Territory, and also Director of Retail-Customer Experience & Day to Day.

She also worked as an advisor to partners of 101 StartUps, and was associated to the CaixaBank Group through "Caixa Capital Risc" from 2008 to 2011.

Mariona Vicens, born in Girona in 1976, has served as Director of CaixaBank Payments & Consumer since November 2023.

She graduated as a Mechanical Engineer from Catalunya Polytechnic University (UPC) and has an MBA from the Kellogg School of Management, Northwestern University.

She is currently also the Director of Digital Transformation and Advanced Analytics at CaixaBank, sits on the CaixaBank Management Committee and is a Director of CaixaBank Tech, S.L.U. and imaginersGen, S.A.

She joined CaixaBank in 2012 as Director of Innovation, and since 2018 she has been Director of Innovation and Digital Transformation. Previously, she worked in the areas of Business Strategy and Development in Novartis, with international experience in China and Switzerland, and as a Senior Associate at McKinsey & Co, working in the financial and pharmaceutical sectors.

She also participates as a mentor and advisor in different entities: The Venture City, LLC, where she advises  startups and entrepreneurs; Enterprise 4.0 - BGV, where she is involved in privacy and artificial intelligence; and Women in Tech Miami  Council, of which she is co-founder, aimed at connecting and empowering women executives in technology.​

Previously, she was Director of Privacy and Compliance at Constella Intelligence, Inc., a global leader in the field of digital risk protection,  global director of Privacy at Facebook and director of International Privacy and Human Rights at Yahoo! where she also held other roles, such  as Director of Legal Advisory at Yahoo! Spain.​

She is also currently the founder, CEO and General Partner of TheVentureCity, a global technology investment fund created by founders and  executives of international technology companies. With a portfolio of over 120 companies, she focuses on infrastructure for  Fintech/Payments, HealthTech/Biotech, energy and e-commerce with offices in Madrid, Miami, San Francisco and Sao Paulo.​

Honoree of the Aspen Institute's 2022 Class of Henry Crown Fellows, supports global entrepreneurship from different platforms as an advisor  to the European Innovation Council of the European Commission, Babson College WinLab, Stanford LBAN program, mentor and panelist for  Endeavor. In addition, she has been an angel investor since 2000 with a personal portfolio of more than 40 companies.​

She previously worked for the Siemens Group, eBay en España, opened Facebook in Spain and in several countries in Europe in 2008, and  moved to Silicon Valley as head of LATAM in the areas of Growth, Mobile & Partnerships.​

She holds a degree in Economics from the University of Barcelona (EUS Programme) and an Executive MBA from the University of Navarra Business School (IESE).

She is currently also a founding partner and CEO of Redwoods Dynamics, S.L., a company specialising in the development of solutions and distribution of technology products. She is also a partner and founder of 101 Venture Builder, S.L., which creates and invests in technology companies in sectors such as health, the environment, communications and training, among others. She is also an investor and advisor for various digital startups, and a partner at 5G Ventures and Data Ventures. She is a member of the Board of Directors of AED, Asociación Española de Directivos and President of its advisory board in Catalonia, and a member of the executive board of El Círculo de Economía. 

Prior to this, she worked at the Garrigues law firm as a tax attorney for large companies, and was a founder and adviser at several technology Startups (including Wolo, Lets Coder, AlmaShopping and CPM Telecom). She also worked as an advisor to partners of 101 StartUps, and was associated to the CaixaBank Group through "Caixa Capital Risc" from 2008 to 2011.

Adequate risk management is essential for the business of any credit institution, especially for companies such as CaixaBank Payments & Consumer, that operate primarily in the retail segment and regard customer loyalty as a core value.

Risk control is fully integrated into management, which the organisation is committed to implementing. Senior management is directly involved in implementing this endeavour and maintaining the internal control framework, underpinned by prudent management and continuous capital and liquidity management and planning processes, ensuring alignment with the Group's profile. The Risk Management System operates on a comprehensive basis, consolidating risk management at the corporate level. As a result, a risk profile is established in line with the Group's strategic objectives.

SUITABILITY OF DIRECTORS AND GENERAL DIRECTORS OR EQUIVALENT POSITIONS

 

Suitability of directors and general directors or equivalent positions

In accordance with Regulation 60 of Bank of Spain Circular 2/2016, it is hereby expressly stated that all appointments of members of the Board of Directors and general directors or equivalent positions at CaixaBank Payments & Consumer, E.F.C., E.P., S.A.U. have been approved following a favourable report issued by the Appointments, Remuneration and Sustainability Committee.

 

Established procedures to ensure suitability and mechanisms to observe incompatibility regulations

Royal Decree 309/2020 of 11 February establishes the application to financial credit institutions of regulations on suitability, incompatibilities and registration of senior officers required for credit institutions pursuant to Law 10/2014 of 26 June 2014 and Royal Decree 84/2015 of 13 February 2015, requiring directors, general directors or equivalent positions responsible for internal control functions and other key positions in credit institutions to be suitable for the performance of their duties. Accordingly, they must be persons of recognised commercial and professional standing, possess adequate knowledge and experience and, in the case of directors, be capable of exercising good governance in the organisation. In accordance with the above, CaixaBank Payments & Consumer, E.F.C., E.P., S.A.U. has established a Selection, Diversity and Suitability Assessment Policy for Directors, Senior Management and other persons in key positions, as well as a protocol of procedures for assessing the suitability and appointment of directors, senior management and other persons in key positions at CaixaBank Payments & Consumer, implementing the policy approved by its Board of Directors and establishing that the Appointments and Remuneration Committee shall prepare and submit a report on the suitability of candidates to the Board of Directors, taking into account, among other aspects, a completed suitability assessment questionnaire and a detailed and updated curriculum vitae, containing the necessary information for an accurate assessment of the requirements of good commercial and professional standing and adequate knowledge and experience of candidates. The suitability assessment report shall contain the proposal for the evaluation of the candidate and shall be approved by the Board of Directors.
