Mariona Vicens, born in Girona, has been Chair of CaixaBank Payments & Consumer since January 2026.
She graduated as a Mechanical Engineer from Catalunya Polytechnic University and has an MBA from the Kellogg School of Management, Northwestern University.
She is currently Head of Digital Transformation and Advanced Analytics at CaixaBank, a member of CaixaBank’s Management Committee, and a director of CaixaBank Tech, S.L.U., and Imaginersgen, S.A.
She joined CaixaBank in 2012 as Director of Innovation, and since 2018 she has been Director of Innovation and Digital Transformation. Previously, she worked in the areas of Business Strategy and Development in Novartis, with international experience in China and Switzerland, and as a Senior Associate at McKinsey & Co, working in the financial and pharmaceutical sectors.

Jordi Mondéjar, born in Darmstadt, has been Director and Deputy Chairman of CaixaBank Payments & Consumer since May 2026.
He holds a degree in Economics and Business Studies (1986–1991) from the University of Barcelona, specialising in Business Economics. He is a registered statutory auditor listed in the Official Register of Auditors of the Institute of Accounting and Auditing.
He joined “La Caixa” in 2000 (CaixaBank from 2011 onwards). He served as Executive Director of Audit, Management Control and Capital from July 2014 to November 2016, and as Chief Risk Officer from November 2016 to December 2025.
He is currently Head of Business at CaixaBank, responsible for the entire retail branch network, retail banking, corporate banking and Wealth Management. He is also a member of CaixaBank’s Management Committee, a board member of SegurCaixa Adeslas, S.A. de Seguros y Reaseguros, a board member of Imarginersen, S.A., and a board member of CaixaBank Tech, S.L.U.

Jordi Nicolau, born in Girona, has been Chief Executive Officer of CaixaBank Payments & Consumer since April 2023.
He has a degree in Economics and Business Administration from the University of Barcelona, and a Master's in Business Administration (MBA) from the Universitat Pompeu Fabra. He has also completed the Management Development Programme (PDD) at IESE, the ESADE "Leadership and Commitment" postgraduate course, the Advanced Studies Diploma (DEA) Third Degree at the University of Girona, and the "Leadership Excellence through Awareness and Practice Programme" (LEAP) at INSEAD.
He currently serves as a director on various entities within the CaixaBank Group: CaixaBank Tech and Imaginersgen. He is also Chairman of the Board of Telefónica Renting and a director of Comercia Global Payments.
He joined CaixaBank in 1995, holding various positions within the retail network. He later served as Deputy Director and Executive Director of the Catalonia territorial division, Director of the Barcelona territorial division, Director of Retail–Customer Experience & Day-to-Day Operations, and Chairman of the Board of Telefónica Consumer Finance.

Rita Almela, from Barcelona, has served as a director of CaixaBank Payments & Consumer since November 2019.
She holds a degree in Economics from the University of Barcelona (EUS Programme) and an Executive MBA from the University of Navarra Business School (IESE).
She is a founding partner of 101 Venture Builder, S.L., a firm focused on the creation of and investment in technology companies. She is also a member of the Board of Directors of Tech Barcelona, and an investor in and adviser to digital start-ups. In addition, she sits on the Board of Directors of the AED (Spanish Association of Executives) and is Chair of its Catalonia Council.
Throughout her career, she has combined experience in technology entrepreneurship, investment, advisory work and participation in governing bodies. She began her career as a tax adviser at Garrigues, advising leading companies, and subsequently became a founder and director of various technology start-ups. She has contributed to the development of several innovation hubs and start-up acceleration programmes. She has also served as a member of the Board of Directors of the Círculo de Economía.
She was also associated with the CaixaBank Group through “Caixa Capital Risc” from 2008 to 2011.

Eva Fernández nacida en Irún (Guipúzcoa), es consejera de CaixaBank Payments & Consumer desde mayo de 2026.
Licenciada en Química por la Universidad de Barcelona, cuenta con un máster en Química Física Experimiental por la misma universidad y King’s College London, y un postgrado en Negocio Bancario por la Universidad Pompeu Fabra.
En la actualidad, es directora de Canal Digital e Innovación en CaixaBank, donde lidera el desarrollo y la evolución de los canales digitales (app y web), tanto en el ámbito de particulares como en el de empresas, impulsando la adopción de soluciones tecnológicas avanzadas y la innovación digital en la entidad.
En 2008 se incorporó a CaixaBank Tech (entidad perteneciente al grupo CaixaBank), donde ejerció como directora de Innovación Tecnológica y Transformación Digital, liderando proyectos estratégicos de innovación y digitalización, incluyendo iniciativas vinculadas a nuevas tecnologías, como blockchain e inteligencia artificial, así como procesos de transformación de sistemas y canales.

Justo Gómez, born in Langa (Ávila), has been a director of CaixaBank Payments & Consumer since October 2025.
He holds a degree in Economics and Business Studies from the Colegio Universitario de Estudios Financieros (CUNEF).
He began his career at Banesto, S.A., where he held the position of Deputy Chief Financial Officer, while also carrying out responsibilities in areas such as investor relations, capital and liquidity management, and wholesale funding. He later joined Santander UK as Chief Financial Officer and a member of the Management Committee, and also served as a director of several group companies, including Abbey National Treasury Services plc and the Common Fund Pension Trustee Board.
He has served as a proprietary director representing CaixaBank at Ahorro Corporación, S.A., where he acted as Vice-Chairman of the Board of Directors and Chairman of the Remuneration and Appointments Committee, playing an active role in the entity’s liquidation process as co-liquidator. He has also represented CaixaBank as a proprietary director at Caja de Seguros Reunidos, Compañía de Seguros y Reaseguros, S.A. (CASER).

Laura González-Estéfani, born in Madrid, has served as a director of CaixaBank Payments & Consumer since November 2019.
She holds a degree in Audiovisual Communication and Information Sciences from the European University of Madrid, and completed the Managerial Development Programme at the Vlerick Business School (Ghent, Belgium).
She is currently the founder, CEO and General Partner of TheVentureCity, a global technology investment fund created by founders and executives of international technology companies. With a portfolio of more than 120 companies, it focuses on infrastructure for fintech/payments, health tech/biotech, energy and e-commerce, and it has offices in Madrid, Miami, San Francisco and São Paulo. She also sits on the Advisory Board of the Centre for Technological Development and Innovation (CDTI).
Henry Crown Fellow at the Aspen Institute, 2022, she supports global entrepreneurship through various platforms, serving as a board member of the European Innovation Council at the European Commission, Babson College WinLab, and the Stanford LBAN program, as well as a mentor and panellist for Endeavor. She has also been an angel investor since 2000, with a personal portfolio of more than 40 companies.
She previously worked for the Siemens Group, for eBay Spain, opened Facebook in Spain and in several European countries in 2008, and moved to Silicon Valley as head of LATAM in Growth, Mobile & Partnerships.

Sarah Harmon, born in Florida (USA), has been a director of CaixaBank Payments & Consumer since March 2021.

She is currently Chief Executive Officer of Odilo, an organisation specialising in personalised learning, advanced analytics and educational ecosystems, and Chair of the non-profit organisation Foundation 29, which focuses on artificial intelligence applied to healthcare.
Previously, she served as Chief Executive Officer of Habitíssimo; member of the Board of Directors of Sngular People; director and Vice-Chair of the UNED Social Council; member of the Board of Directors of Renta 4 Banco, S.A., where she was Chair of the Appointments and Remuneration Committee and a member of the Audit and Control Committee; partner and deal leader at Go Beyond Investing; Country Manager for LinkedIn in the Iberia region, with responsibility for driving commercial initiatives, as well as leading LinkedIn’s women’s initiative from 2017 to 2018; and Business Development Director at Microsoft.

She holds a Law Degree from the UAM (Autonomous University of Madrid) and obtained a Master’s Degree in U.S. and Transnational Law from the University of Miami School of Law in 2021. She is also a certified privacy and data protection professional (CIPP/US and CIPP/EU).
She is currently the founder of Global Privacy & Policy Consulting, LLC, a consulting firm specialising in strategic privacy, AI governance and digital ethics.
She is an Associate Professor at the IE Law School and participates as a mentor and advisor in different entities: Women in AI Governance, as a member of its board; The Ethical AI Governance Group, as part of its advisory board; TheVentureCity, where she advises startups and entrepreneurs; Enterprise 4.0 - BGV, where she is involved in privacy and artificial intelligence; and Women in Tech Miami Council, of which she is co-founder, aimed at connecting and empowering women executives in technology. She is also a Fellow at the Centre for Information Policy Leadership.
Previously, she was the Vice President and Privacy Officer at Restaurant Brands International, Inc.; Chief Privacy and Compliance Officer at Constella Intelligence, Inc., a global leader in the field of digital risk protection; Global Chief Privacy Officer at Facebook; and Director of International Privacy and Human Rights at Yahoo!, where she also held other roles, such as Director of General Counsel at Yahoo! She is an Associate Professor at the IE Law School and participates as a mentor and advisor in different entities: Women in AI Governance, as a member of its board; The Ethical AI Governance Group, as part of its advisory board; TheVentureCity, where she advises startups and entrepreneurs; Enterprise 4.0 - BGV, where she is involved in privacy and artificial intelligence; and Women in Tech Miami Council, of which she is co-founder, aimed at connecting and empowering women executives in technology. She is also a Fellow at the Centre for Information Policy Leadership.

She graduated as a Mechanical Engineer from Catalunya Polytechnic University and has an MBA from the Kellogg School of Management, Northwestern University.

Laura González-Estéfani, born in Madrid, has served as a director of CaixaBank Payments & Consumer since November 2019.
She holds a degree in Audiovisual Communication and Information Sciences from the European University of Madrid, and completed the Managerial Development Programme at the Vlerick Business School (Ghent, Belgium).
She is currently the founder, CEO and General Partner of TheVentureCity, a global technology investment fund created by founders and executives of international technology companies. With a portfolio of more than 120 companies, it focuses on infrastructure for fintech/payments, health tech/biotech, energy and e-commerce, and it has offices in Madrid, Miami, San Francisco and São Paulo. She also sits on the Advisory Board of the Centre for Technological Development and Innovation (CDTI).
Henry Crown Fellow at the Aspen Institute, 2022, she supports global entrepreneurship through various platforms, serving as a board member of the European Innovation Council at the European Commission, Babson College WinLab, and the Stanford LBAN program, as well as a mentor and panellist for Endeavor. She has also been an angel investor since 2000, with a personal portfolio of more than 40 companies.

Rita Almela, from Barcelona, has served as a director of CaixaBank Payments & Consumer since November 2019.
She holds a degree in Economics from the University of Barcelona (EUS Programme) and an Executive MBA from the University of Navarra Business School (IESE).
She is a founding partner of 101 Venture Builder, S.L., a firm focused on the creation of and investment in technology companies. She is also a member of the Board of Directors of Tech Barcelona, and an investor in and adviser to digital start-ups. In addition, she sits on the Board of Directors of the AED (Spanish Association of Executives) and is Chair of its Catalonia Council.
Throughout her career, she has combined experience in technology entrepreneurship, investment, advisory work and participation in governing bodies. She began her career as a tax adviser at Garrigues, advising leading companies, and subsequently became a founder and director of various technology start-ups. She has contributed to the development of several innovation hubs and start-up acceleration programmes. She has also served as a member of the Board of Directors of the Círculo de Economía.
She was also associated with the CaixaBank Group through “Caixa Capital Risc” from 2008 to 2011.

Justo Gómez, born in Langa (Ávila), has been a director of CaixaBank Payments & Consumer since October 2025.
He holds a degree in Economics and Business Studies from the Colegio Universitario de Estudios Financieros (CUNEF).
He began his career at Banesto, S.A., where he held the position of Deputy Chief Financial Officer, while also carrying out responsibilities in areas such as investor relations, capital and liquidity management, and wholesale funding. He later joined Santander UK as Chief Financial Officer and a member of the Management Committee, and also served as a director of several group companies, including Abbey National Treasury Services plc and the Common Fund Pension Trustee Board.
He has served as a proprietary director representing CaixaBank at Ahorro Corporación, S.A., where he acted as Vice-Chairman of the Board of Directors and Chairman of the Remuneration and Appointments Committee, playing an active role in the entity’s liquidation process as co-liquidator. He has also represented CaixaBank as a proprietary director at Caja de Seguros Reunidos, Compañía de Seguros y Reaseguros, S.A. (CASER).

Manel Marcet, born in Madrid, has been Chief Risk Officer of CaixaBank Payments & Consumer since April 2024.
He holds a Degree in Business Administration and an MBA from ESADE, a CEMS Master's Degree from the Université Catholique de Louvain (Belgium) and a Management Development Programme (PDD) from IESE.
He joined the CaixaBank Group in 2007 and served as General Manager of Risks and Finance at CaixaRenting and Finconsum until 2012. Between 2012 and 2024, he served at CaixaBank as Director of Global Risk and Infrastructure Information, Director of Risk Policies and Control, Director of Retail Risk and Director of Retail Delinquency and Recoveries.
He has also worked at companies such as General Electric Company, PwC and JP Morgan. Furthermore, he has served as a director of CaixaBank Titulización, E.G.F.T., S.A.U., Equifax Inc. and Soluciones Confirma and is a member of the Board of Directors of ASNEF (National Association of Financial Credit Institutions).

Suitability of directors and general directors or equivalent positions
In accordance with Regulation 60 of Bank of Spain Circular 2/2016, it is hereby expressly stated that all appointments of members of the Board of Directors and general directors or equivalent positions at CaixaBank Payments & Consumer, E.F.C., E.P., S.A.U. have been approved following a favourable report issued by the Appointments, Remuneration and Sustainability Committee.
Established procedures to ensure suitability and mechanisms to observe incompatibility regulations
Royal Decree 309/2020 of 11 February establishes the application to financial credit institutions of regulations on suitability, incompatibilities and registration of senior officers required for credit institutions pursuant to Law 10/2014 of 26 June 2014 and Royal Decree 84/2015 of 13 February 2015, requiring directors, general directors or equivalent positions responsible for internal control functions and other key positions in credit institutions to be suitable for the performance of their duties. Accordingly, they must be persons of recognised commercial and professional standing, possess adequate knowledge and experience and, in the case of directors, be capable of exercising good governance in the organisation. In accordance with the above, CaixaBank Payments & Consumer, E.F.C., E.P., S.A.U. has established a Selection, Diversity and Suitability Assessment Policy for Directors, Senior Management and other persons in key positions, as well as a protocol of procedures for assessing the suitability and appointment of directors, senior management and other persons in key positions at CaixaBank Payments & Consumer, implementing the policy approved by its Board of Directors and establishing that the Appointments and Remuneration Committee shall prepare and submit a report on the suitability of candidates to the Board of Directors, taking into account, among other aspects, a completed suitability assessment questionnaire and a detailed and updated curriculum vitae, containing the necessary information for an accurate assessment of the requirements of good commercial and professional standing and adequate knowledge and experience of candidates. The suitability assessment report shall contain the proposal for the evaluation of the candidate and shall be approved by the Board of Directors.
