D. Gonzalo Gortázar Rotaeche
Chairman
Gonzalo Gortázar nacido en Madrid, es Presidente de CaixaBank Payments & Consumer desde abril de 2023.
Licenciado en Derecho y en Ciencias Empresariales por la Universidad Pontificia Comillas (ICADE) y Máster en Business Administration with distinction por INSEAD.
Actualmente es también Consejero Delegado de CaixaBank y Consejero de Banco BPI.
Fue Director General de Finanzas de CaixaBank hasta su nombramiento como Consejero Delegado en junio de 2014. Previamente fue Consejero Director General de Criteria CaixaCorp entre 2009 y Junio de 2011. Desde 1993 a 2009 trabajó en Morgan Stanley en Londres y en Madrid, donde ocupó diversos cargos en la división de Banca de Inversión liderando el Grupo de Instituciones Financieras en Europa hasta mediados del año 2009, momento en el que se incorporó a Criteria. Con anterioridad desempeñó diversas responsabilidades en Bank of America en Banca Corporativa y de Inversión.
Ha sido Presidente de VidaCaixa, Vicepresidente Primero de Repsol y Consejero de Grupo Financiero Inbursa, Erste Bank, SegurCaixa Adeslas, Abertis, Port Aventura y Saba.

Jordi Nicolau nacido en Gerona, es consejero delegado de CaixaBank Payments & Consumer desde abril de 2023.
Licenciado en Económicas y Empresariales por la Universidad de Barcelona y Máster en Business Administration (MBA) por la Universidad Pompeu Fabra. Asimismo, ha realizado el Programa de Desarrollo Directivo (PDD) por IESE, el Posgrado “Liderazgo y Compromiso” en ESADE, tiene el diploma en Estudios avanzados (DEA). Tercer Grado y el “Leadership Excellence trough Awareness and Practice Porgramme” (LEAP) en INSEAD.
Actualmente es miembro del Comité de Dirección y Director de Payments & Consumer en CaixaBank.
Se incorporó a CaixaBank en 1995 en la red comercial y fue Director adjunto y Director ejecutivo de la territorial de Catalunya, Director de la territorial de Barcelona y también Director Retail-Costumer Experience & Día a Día.

D.ª Rita Almela Conesa
Director
Rita Almela, born in Barcelona, has been a director of CaixaBank Payments & Consumer since November 2019.
She holds a degree in Economics from the University of Barcelona (EUS Programme) and an Executive MBA from the Business School of the University of Navarra (IESE).
She is currently a founding partner of 101 Venture Builder, S.L., focused on creating and investing in technology companies in different sectors, such as health, environment, communication and training. She is also an investor and advisor of different digital startups, and partner of 5G Ventures and Data Ventures. She is a member of the board of directors of the AED, the Spanish Association of Executives and president of its council of Catalonia.
Previously, she was a tax advisor at the Garrigues law firm to leading companies, founder and board member of several technology startups (Wolo, Lets Coder, AlmaShopping, CPM Telecom, for example). She was also an advisor to investees of 101 StartUps and was linked to the CaixaBank group through "Caixa Capital Risc" from 2008 to 2011.

D. Matthias Bulach

Matthias Bulach, born in Schramberg (Germany), has been a director of CaixaBank Payments & Consumer since October 2018.
He holds a Degree in Economics from the University of Sankt Gallen (Switzerland), CEMS Master's in Management (Community of European Management Schools) and a Master's in Business Administration from the Business School of the University of Navarra (IESE).
He is currently Director of Accounting, Management Control and Capital at CaixaBank, a member of the Management Committee of CaixaBank and a director of BuildingCenter, S.A.
Previously, he was a director of CaixaBank Consumer Finance, E.F.C., S.A. and member of its Appointments and Remuneration Committee, a director of CaixaBank Asset Management, S.G.I.I.C., S.A. and chairman of its Audit and Control Committee, a member of the Supervisory Committee of Erste Group Bank AG and member of its Audit Committee, as well as a director of Creapolis, Parc de la Creativitat, S.A. He was also Corporate Manager of Planning and Capital, Department Manager of Financial Planning at CaixaBank and manager of the Economic Analysis Office at "la Caixa" Savings and Pensions. In addition, he was a senior associate specialising in the financial sector (banking, insurance) at McKinsey & Company.

José Manuel Gabeiras, born in Ferrol (La Coruña), has been a director of CaixaBank Payments & Consumer since September 2019.
He holds a degree in Economics and Mathematical Statistics from the Complutense University of Madrid (UCM) and a degree in Civil Engineering from the Polytechnic University of Madrid (UPM). Civil Servant, Qualified and Chartered Statistician.
He was previously a member of the Board of Directors of CaixaBank Payments, EFC EP, S.A., member and Chairman of the Joint Audit Committee and member of the Appointments and Remuneration Committee. He was also a director of NovaGalicia Banco, and sat on its Executive Committee and on the Appointments and Remuneration Committee. He was also chairman of Servired and chairman of Sermepa, a director of Visa Europe, a member of the Executive Committee and a member of the Audit, Risk and Finance Committee. He has also held management and chairmanship positions in well-known entities such as SEMP, Visa International and was CEO of the financial group Credit Agricole.

Laura González-Estéfani, born in Madrid, has been a director of CaixaBank Payments & Consumer since November 2019.
She holds a Degree in Audiovisual Communication and Information Sciences from the European University of Madrid and has participated in the Management Development Programme at the Vlerick Business School (Ghent, Belgium).
She is currently the founder, CEO and General Partner of TheVentureCity, a global technology investment fund created by founders and executives of international technology companies. With a portfolio of over 120 companies, she focuses on infrastructure for Fintech/Payments, HealthTech/Biotech, energy and e-commerce with offices in Madrid, Miami, San Francisco and Sao Paulo.
Honoree of the Aspen Institute's 2022 Class of Henry Crown Fellows, supports global entrepreneurship from different platforms as an advisor to the European Innovation Council of the European Commission, Babson College WinLab, Stanford LBAN program, mentor and panelist for Endeavor. In addition, she has been an angel investor since 2000 with a personal portfolio of more than 40 companies.
She previously worked for the Siemens Group, eBay en España, opened Facebook in Spain and in several countries in Europe in 2008, and moved to Silicon Valley as head of LATAM in the areas of Growth, Mobile & Partnerships.

D. David Griera Perramon

David Griera, born in Barcelona, has been a director of CaixaBank Payments & Consumer since March 2021.
Graduate in Business Studies from the University of Vic in 1994, he holds a Master's in Business Administration from the University of Barcelona in 1998, and is also a Senior Management graduate from ESADE in 2001. In addition, he has taken several postgraduate courses related to the financial sector, a General Management Program (PDG) at IESE in 2006, a Management Development Programme (PMD) at ESADE in 2014 and the International Center for Leadership Development Programme in 2018.
He is currently Commercial General Manager of CaixaBank Payments & Consumer, Director and Non-Executive Chairman of the subsidiary Wivai, Director of MoneyToPay and Director of Telefónica Consumer Finance.
He has previously held various positions in banking and the financial sector, mainly in the areas of sales and marketing. Within the CaixaBank group, he held the role of commercial manager of the regional general division of Catalonia from 2014 until February 2020. At CatalunyaCaixa, he was Commercial Manager, Director of Private Banking, Director of Commercial, Corporate and Private Banking and Director of Marketing, Electronic Banking and Innovation. At Caixa Manresa, he held various positions in the commercial network, Retail banking manager, Commercial Director, Commercial and Marketing manager and Deputy General Manager of the Commercial, Marketing and Human Resources areas.

Sarah Harmon, born in Florida (USA), has been a director of CaixaBank Payments & Consumer since March 2021.
She holds a Bachelor's degree in Journalism from the University of Kansas, Lawrence (USA) and a Master's degree in Business Administration from the University of North Carolina, Chapel Hill (USA).
She is currently Global CEO of Singular People, partner and deal leader of Go Beyond Investing, EMEA, a fintech that transforms angel investing into a new asset class that is scalable to small and large investors, member of the advisory board of Melboss Music Inc. a private network for music professionals, and trustee of Foundation 29, a non-profit entity specialising in artificial intelligence applied to health.
Previously, she wash general manager of Habitíssimo, member of the Board of Directors of Singular, member of the Board of Directors of Renta 4 Banco, S.A. and chairwoman of its Appointments and Remuneration Committee and member of its Audit and Control Committee, country manager at LinkedIn for the Iberia region with the objective of driving commercial actions, in addition to leading the women's initiative at LinkedIn from 2017 to 2018, and director of Business Development at Microsoft.

D.ª María Victoria Hernández Valcárcel

María Victoria Hernández Valcárcel, born in Barcelona, has been a director of CaixaBank Payments & Consumer since November 2019.
She holds a degree in Computer Engineering from the Polytechnic University of Cataonia (UPC), an EMBA from INSEAD (France) and a diploma in Digital Marketing from Columbia Business School.
She currently represents the interests of the European Innovation Council investment fund as a non-executive director in the Belgian telecommunications company, Tessares. She is also a non-executive director of The EQ Project International, S.L. (AI TeamEQ), an entity that offers solutions in the field of human resources through artificial intelligence, and member of the advisory board of Cashway, a financial technology company. She is also a member of the decision-making panel for aearding grants and financial investment in the European Union's Horizon Europe programme (budget of €10.5 billion)
As part of her social contribution, she is the European President of Global Telecom Women's Network (GTWN.org), the international forum for women executives active in high technology, to contribute to the evolution of the information society in a positive way.
Previously, she was Chairwoman and CEO of Orange Spain, Director of Alliances (M&A) Europe for British Telecom, Director of European Operations and CEO in France for GTS; Chairwoman of Proximus Spain, CEO in France and Deputy Chair of International Operations.

Laura Juanes, born in Barcelona, has been a director of CaixaBank Payments & Consumer since April 2021.
She holds a law degree from the Universidad Autónoma de Madrid and obtained her Master's in US and Transnational Law from the University of Miami School of Law in 2021. Certified Privacy and Data Protection Professional (CIPP/US and CIPP/EU).
She is currently the Vice-President and Privacy Officer of Restaurant Brands International, Inc. which owns four of the world's leading quick service restaurant brands. She also participates as a mentor and advisor in different entities: The Venture City, LLC, where she advises startups and entrepreneurs; Enterprise 4.0 - BGV, where she is involved in privacy and artificial intelligence; and Women in Tech Miami Council, of which she is co-founder, aimed at connecting and empowering women executives in technology.
Previously, she was Director of Privacy and Compliance at Constella Intelligence, Inc., a global leader in the field of digital risk protection, global director of Privacy at Facebook and director of International Privacy and Human Rights at Yahoo! where she also held other roles, such as Director of Legal Advisory at Yahoo! Spain.

Actualmente es también Director de Negocio en CaixaBank, siendo responsable de toda la red comercial de oficinas, de banca de particulares, banca de empresas y banca privada.
Se incorporó a CaixaBank en 2013 y fue Director Territorial Catalunya de 2013 a 2022. Con anterioridad, desarrolló su carrera en Catalunya Caixa (2010-2013), Caixa Catalunya (2008-2010) y Caixa Manresa (1996-2008). También ha trabajado en private equity en Granville Holdings PLC (actualmente Baird Capital) entre Barcelona y Londres y, en el área de tesorería de JP Morgan en Milán (Italia).

Suitability of directors and general directors or equivalent positions
In accordance with Regulation 60 of Bank of Spain Circular 2/2016, it is hereby expressly stated that all appointments of members of the Board of Directors and general directors or equivalent positions at CaixaBank Payments & Consumer, E.F.C., E.P., S.A.U. have been approved following a favourable report issued by the Appointments, Remuneration and Sustainability Committee.
Established procedures to ensure suitability and mechanisms to observe incompatibility regulations
Royal Decree 309/2020 of 11 February establishes the application to financial credit institutions of regulations on suitability, incompatibilities and registration of senior officers required for credit institutions pursuant to Law 10/2014 of 26 June 2014 and Royal Decree 84/2015 of 13 February 2015, requiring directors, general directors or equivalent positions responsible for internal control functions and other key positions in credit institutions to be suitable for the performance of their duties. Accordingly, they must be persons of recognised commercial and professional standing, possess adequate knowledge and experience and, in the case of directors, be capable of exercising good governance in the organisation. In accordance with the above, CaixaBank Payments & Consumer, E.F.C., E.P., S.A.U. has established a Selection, Diversity and Suitability Assessment Policy for Directors, Senior Management and other persons in key positions, as well as a protocol of procedures for assessing the suitability and appointment of directors, senior management and other persons in key positions at CaixaBank Payments & Consumer, implementing the policy approved by its Board of Directors and establishing that the Appointments and Remuneration Committee shall prepare and submit a report on the suitability of candidates to the Board of Directors, taking into account, among other aspects, a completed suitability assessment questionnaire and a detailed and updated curriculum vitae, containing the necessary information for an accurate assessment of the requirements of good commercial and professional standing and adequate knowledge and experience of candidates. The suitability assessment report shall contain the proposal for the evaluation of the candidate and shall be approved by the Board of Directors.
